OpenAI Pulls the Plug on Cursor After SpaceX's $60 Billion Buyout

Elon Musk and Sam Altman's long-running feud has claimed an unlikely casualty: one of the most widely used AI coding tools in the world.

On Friday, August 28, OpenAI published a blog post with a title that reads almost like a legal filing: “Our decision on Cursor following its acquisition by SpaceX.” The message was straightforward: OpenAI intends to end its agreement to supply models to Cursor after Cursor's parent company was acquired by Musk's SpaceX.

The proposed transition date is November 12, 2026, the maximum notice period allowed under the agreement, although OpenAI's current guidance indicates the companies could still reach a different arrangement before then.

How a code editor ended up inside a rocket company

Cursor is built by Anysphere, a company founded in 2022 by four MIT students. OpenAI's Startup Fund was an early investor, and OpenAI reportedly explored acquiring Anysphere before ultimately pursuing a deal for rival coding startup Windsurf.

That Windsurf deal also fell apart. Microsoft objected to aspects of the proposed arrangement, while Windsurf's leadership and researchers later moved to Google in a licensing and talent deal. Cognition subsequently acquired the remaining Windsurf business.

Meanwhile, Musk's side of the AI industry was moving in a different direction.

SpaceX announced in February 2026 that it had merged with xAI, bringing Musk's AI business and its computing infrastructure into the rocket company's orbit.

Cursor and xAI had already been moving closer. Cursor had worked with xAI technology, and several of its engineers had joined Musk's AI operation. In April, SpaceX and Cursor reached an agreement that included an option for SpaceX to acquire the company.

SpaceX formally entered into the merger agreement on June 16, 2026, four days after the company went public. The transaction officially closed on August 14, with Cursor shareholders receiving roughly 389 million SpaceX Class A shares, based on an implied equity value of about $60 billion.

The deal has been described as the largest acquisition of a venture-backed startup, putting Cursor inside SpaceX's expanding AI operation. Cursor says the company will continue operating as a product within SpaceX while gaining access to the broader organization's computing resources.

The breakup, in OpenAI's own words

That's the acquisition everyone already knew about. What's new is OpenAI's response.

In its August 28 post, OpenAI said it had informed SpaceX that it intends to terminate Cursor's access to OpenAI models, with November 12 proposed as the transition date. OpenAI said it made the decision because it “cannot be confident that SpaceX will use our technology within our terms of service.”

OpenAI pointed to Musk's previous corporate history as part of that reasoning, including disputes involving X and xAI. The company also said Musk had acknowledged under oath that xAI had violated OpenAI's terms of service.

According to Reuters, Musk acknowledged under oath that xAI had used outputs from OpenAI models in ways that violated OpenAI's terms. Musk had earlier described the claim as “partly” true.

The most consequential detail is buried in the contract language: OpenAI says its agreement with Cursor contains a provision allowing termination following a change of control. With Cursor now owned by SpaceX, OpenAI is invoking that provision.

That also means OpenAI's next-generation Astra model will not be coming to Cursor under the existing arrangement.

There is an important distinction for developers, however. According to OpenAI's current guidance, customers can still use OpenAI models in supported Cursor workflows through their own API keys, while OpenAI's separate IDE integrations remain available. OpenAI also says compatible gateway providers can provide another route to its models.

What this means for Cursor users

  • OpenAI has proposed November 12, 2026, as the transition date for ending its native Cursor model integration.

  • Developers can continue using OpenAI models in supported Cursor features with their own OpenAI API key.

  • OpenAI's Codex IDE extension can continue operating separately inside Cursor.

  • Compatible AI gateways can provide another route to OpenAI models.

  • Cursor's own models and its access to Grok remain available.

In other words, this is not an immediate shutdown of OpenAI inside Cursor. It is the beginning of a planned separation.

A calm response from Cursor

Cursor co-founder Michael Truell, now an executive at SpaceX, responded within hours. He said Cursor was disappointed by OpenAI's decision but that the companies were already discussing the issue.

That response matters because November 12 is a proposed transition date, not necessarily the end of negotiations. OpenAI has left room for discussions, meaning the arrangement could still change before the notice period expires.

The reaction among developers has been more mixed. On Hacker News and X, some developers questioned how the decision fits with OpenAI's public positioning around supporting developers regardless of which coding tools they use.

Others have argued that Cursor has already been reducing its dependence on third-party frontier models by promoting its own models and alternatives such as Grok.

That second point is important commercially: Cursor is no longer simply a wrapper around other companies' AI models. It has been building more of its own model and infrastructure stack, giving the company more ways to absorb the loss of a major provider.

The part that's really about Musk, not Cursor

Strip away the contract language, and the move also looks like the newest chapter in Musk and Altman's unusually personal corporate rivalry.

The two helped found OpenAI together in 2015 before Musk left the company. Musk later launched xAI as a direct competitor and has spent years attacking OpenAI's evolution from nonprofit research organization toward a for-profit structure. The dispute has spilled into litigation as well as public arguments.

Now Musk's corporate ecosystem spans SpaceX, X, xAI and Cursor, while OpenAI is competing directly with several of the same companies and products.

From OpenAI's perspective, the issue is contractual trust. From the outside, it is hard not to see the broader rivalry in the background.

And the timing is revealing.

The AI industry is increasingly moving from a world where companies cooperated across model providers, applications and infrastructure toward one where those layers are being pulled under the same corporate roofs.

Coding tools are at the center of that shift. Anthropic has reportedly been in talks to acquire Israeli startup Decart AI for around $6 billion, while the coding market is increasingly defined by competition between Anthropic's Claude Code, OpenAI's Codex products and Cursor's growing combination of its own models and Musk-backed AI.

Losing native OpenAI access probably won't change what most Cursor users type into the chat box tomorrow, but it's a clear sign of where the walls are going up across the industry.

What to watch next

For Cursor users, the immediate question is whether the two companies reach a new arrangement before November 12, 2026.

The bigger question is what this says about the structure of the AI industry.

As model companies increasingly become rivals to the applications built on top of their technology, contracts that once looked like routine supplier agreements can become strategic weapons. A change-of-control clause that might have been boilerplate suddenly becomes a way to cut off a competitor.

Cursor is unlikely to disappear without OpenAI's native models. It has alternatives, its own models and access to Musk's broader AI infrastructure.

But losing native OpenAI access would still mark something significant: another major boundary going up in an industry that was once built around making the underlying models available as widely as possible.

The November deadline will show whether this is a temporary breakup—or the beginning of a much more permanent separation.
